Subject: AMENDMENT TO BOWMANVILLE MUSEUM BOARD BY-LAW 79-67
Recommendations:
It is respectfully recommended that the General Purpose and
Administration Committee recommend to Council the following:
1. THAT Report CD-28-92 be received:
2 . THAT the request from the Bowmanville Museum Board to
include a Representative from the "Friends of the Museum"
as a Member of the Bowmanville Museum Board be approved;
3 . THAT the By-law attached to Report CD-28-92 be approved; and
4 . THAT Mr. Larry Paradis, Chairman, Bowmanville Museum Board
be provided with a copy of Report CD-28-92 and advised of
Council's decision.
BACKGROUND AND COMMENT:
A letter dated September 22, 1992 was received from Mr. Larry
Paradis, Chairman, Bowmanville Museum Board, wherein he requested
that the By-law pertaining to the Bowmanville Museum Board be
amended to include a voting privilege for the Representative of
the "Friends of the Museum" who sits on the Museum Board.
This was considered by Council on October 13, 1992 at which time
the following resolution was passed:
"THAT the correspondence dated September 22, 1992, from
Larry Paradis, Chairman, Bowmanville Museum Board,
requesting an amendment to By-law 79-67, be received;
THAT the correspondence be referred to the Clerk for review
and preparation of a report to be submitted to the General
Purpose and Administration Committee; and
THAT Larry Paradis be advised of Council's decision. "

Mr. Larry Paradis was contacted and it was determined that the
practice of having "Friends of the Museum" has .been in place for
approximately 20 years and that a representative from this group
regularly attends the Board Meetings . The Bowmanville Museum has
approximately 14 "Friends of the Museum" and 25 Associates who
volunteer their time and effort towards raising funds for the
Bowmanville Museum. It was ascertained that the representative
of the "Friends of the Museum" who would have voting privileges
on the Board would, generally, not be in a "conflict" situation
due to the fact that he/she would be in attendance for the
benefit of the Bowmanville Museum Board as are the Members of the
Board.
The question of how the name of the Representative of the
"Friends of the Museum" would be selected and submitted to
Council for approval was raised. Various alternatives were
discussed with Mr. Paradis and it was agreed that the most
efficient and effective method would be for the "Friends of the
Museum" to select a Representative and advise the Bowmanville
Museum Board who would, subsequently, submit the name of the
chosen Representative to the Town for Council's approval. As the
Museum Boards are appointed for a term concurrent with the term
of the appointed Council, this would take place in November of
the third year of the term of the present Council, in conjunction
with the advertisement placed for all Boards and Committees for
submission to GPA and Council in January.
From a representation and administration standpoint, the
advantage of this choice is threefold:
1. The "Friends of the Museum" would be given the opportunity
to select their chosen representative;
2 . The Bowmanville Museum Board would submit this name to the
Town and, therefore, be informed and aware of this
selection; and
3. One name only would be submitted to Council for their
approval of a Representative of the "Friends of the Museum"
to sit on the Bowmanville Museum Board.
This method was deemed to be most appropriate as it would keep
all lines of communication open between the Town, the Bowmanville
Museum Board and "Friends of the Museum" , during the process of
appointments .
It is therefore recommended:
1. THAT Report CD-28-92 be received:

2 . THAT the request from the Bowmanville Museum Board include
a Representative from the "Friends of the Museum" to become
a Member of the Bowmanville Museum Board be approved;
3 . THAT the By-law attached to Report CD-28-92 be approved; and
4 . THAT Mr. Larry Paradis, Chairman, Bowmanville Museum Board
be provided with a copy of Report CD-28-92 and advised of
Council 's decision.
Mr. Larry Paradis has been advised of the contents of this
report.

At a meeting held on October 13, 1992, the Council of the Town of
Newcastle considered your letter dated September 28, 1992,
regarding the above matter and passed the following resolution:

BY-LAW 92-
being a by-law to amend By-law 79-67,
as amended, a by-law to establish a
Board of Management to Operate a Museum
on its behalf (Bowmanville Museum) and
to repeal By-laws #81-9 and #88-153
WHEREAS the Council of the Corporation of the Town of Newcastle
deems it expedient to amend By-law 79-67, as amended;
NOW THEREFORE THE COUNCIL OF THE TOWN OF NEWCASTLE HEREBY ENACTS
AS FOLLOWS:
1. THAT Section 3(a) of By-law 79-67 be amended by deleting the
whole thereof and substituting the following therefor:
(a) The Board shall consist of two members of Council and
eight other members who are qualified to be elected as
members of Council each of whom shall be appointed by
Council.
One of the eight members will be a representative of
the "Friends of the Museum" selected by this group and
recommended to the Bowmanville Museum Board for
submission to Council and approval by Council. The
submission of this name by the Bowmanville Museum Board
will take place in November of the third year of the
term of the presaRt ouncil.

2. THAT Sections 3(c) and 3(d) be amended by deleting the whole
thereof and substituting the following therefor:
(c) The members of the Board who are not members of Council
shall hold office for a term concurrent with the term
of Council and may be re-appointed to three consecutive
( terms at which time they must retire for at least one
term to be eligible for re-appointment to the Board.
3. THAT Section 3(e) be renumbered as Section 3(d) .
4. THAT By-laws 81-9 and 88-153 be repealed.
By-law read a first and second time this 14th day of
December 1992.
By-law read a third time and finally passed this 14th day of
December 1992.
