RECOMMENDATION:
It is respectfully recommended to Council the following :
1 . That Report PD-29-84 be received; and
2. That the solicitors for Specialty Care Inc. ,
301 Simpson Avenue, Bowmanville, Ontario be
advised that the Town of Newcastle is prepared
to release Specialty Care Inc. from the
restrictive convenant registered against Part
1 , of Registered Reference Plan lOR-452, thus
releasing the Owner from any requirement to
construct a building of at least 2.5,000 square
feet upon the subject lands, provided that the
preparation of the Release and registration of
same is done at no cost to the municipality;
and
* 3.
That the attached By-law be approved
authorizing the Mayor and Clerk to execute , on
behalf of the Town , the release referred to by
No. 2 above.

BACKGROUND AND COMMENT:

solicitors for Specialty Care Inc. , the owners of 301
Simpson Avenue, Bowmanville, Ontario,
to release their
clients from a restrictive covenant registered against title
of Part 1 , Registered Reference Plan lOR-452. Said covenant
required that the purchaser of the subject lands must erect
a building of at least 2.5,000 square feet within one (1 )
year of the date of the sale of the lands by the Town , or
that the lands would revert to the Town upon repayment of
the purchase price less ten (10) percent.
A similar restriction in respect of adjacent lands was
previously cleared by the Town in 1979. The release is
required by the Owners in order to refinance the subject
lands and is being requested by the mortgagee. Staff note
that when the lands were originally sold in 1975, it was the
intent of this covenant to require construction of an
industrial building within a specified time period.
However, in the case of Part 1 , Plan 1 OR-452, Ontario Hydro
subsequently acquired a corridor over most of these lands
effectively preventing the erection of any building. That
portion of Part 1 , Plan IOR-452 not affected by the Hydro
corridor, appears to have been conveyed to the Owners of the
lands immediately to the north presently owned by Specialty
Care Inc. This property does contain an industrial building
and to require construction of a building as contemplated by
the restrictive covenant, is no longer reasonable or
appropriate. Staff are therefore recommending that this
restriction be released by the Town in order to facilitate
the refinancing of the subject lands, and that this be done
at no cost to the municipality.

Staff have discussed this requirement with Specialty Care's
solicitors who agreed to prepare a draft form of release and
submit that to the Town for our approval . Similarly, they
have agreed to undertake the registration of the release so
as to expedite clearance and finalization of this matter.
