BY-LAW 2002- 143
Being a By-law to authorize an amending contract between
the Corporation of the Municipality of Clarington and Viacom
Canada Inc., Toronto, Ontario, for Transit Passenger Shelter
Advertising, as originally authorized under By-law 1999-110,
THE CORPORATION OF THE MUNICIPALITY OF CLARINGTON HEREBY ENACTS
AS FOLLOWS:
1. THAT the Mayor and Clerk are hereby authorized to execute, on behalf of the
Corporation of the Municipality of Clarington with the Corporation Seal, an
amending contract between, Viacom Canada Inc., Toronto, Ontario and said
Corporation; and
2. THAT the contract attached hereto as Schedule "A"form part of this By-law.

CONSENT
Pursuant to the Agreement between The Corporation of the Municipality of Clarington
("Consentor") and Viacom Outdoor Canada Inc., formerly Mediacom Inc. ("VOCI")
dated September 20, 1999 (the "Agreement"), Consentor hereby consents to the
amalgamation of VOCI with and into Viacom Canada Inc. (the "Assignee") resulting in
the transfer of all VOCI's right, title, interest and benefit in and to the Agreement to the
Assignee for the remainder of the term of the Agreement and every renewal thereof,
subject to the payment of fees and the performance and observance of the covenants and
conditions in the Agreement. The transfer of the Agreement shall be effective as of the
date hereof. This consent shall not be deemed to authorize any further or other
assignment of the Agreement. The Consentor confirms that the Agreement is effective at
the date hereof and no other consent is required under the Agreement at this time.
