THE CORPORATION OF THE TOWN OF NEWCASTLE
BY -LAW 82 -68
Being a by -law to authorize the execution of an
Agreement of Purchase and Sale with the Canadian
Foresters Project (Eastern) Group.
The Council of the Corporation of the Town of Newcastle HEREBY ENACTS
AS FOLLOWS:
That the Mayor and Clerk are hereby authorized to execute
on behalf of the Corporation of the Town of Newcastle and
seal with the Corporation Seal an Agreement between the
Canadian Foresters Project (Eastern) Goup and the said
• Corporation, which is attached hereto as Schedule IV'.
By -law read a first and second time this 10th day of May 1982.
By-law read a third and final time this 10th day of May 1982.

THIS AGREEMENT made this 8th day of September, 1982.
BETWEEN:
-and -
THE CORPORATION OF THE TOWN OF NEWCASTLE,
hereinafter called the Assignor
OF THE FIRST PART;
CANADIAN FORESTERS PROJECT (EASTERN) GROUP,
hereinafter called the Assignee
OF THE SECOND PART;
WHEREAS by a Lease dated the 1st day of January, 1978, here-
inafter called the "Lease ", The Regional Municipality of
Durham as Lessor leased the lands and premises municipally
known as 108 Liberty Street North in the Geographic Town of
Bowmanville, being in the Town of Newcastle, in the Regional
Municipality of Durham, to Her Majesty the Queen in Right of
Ontario as represented by the Minister of Government Services,
as Lessee;
AND WHEREAS by Assignment of Lease dated the 31st day of August,
1982, The Regional Municipality of Durham as Assignor did
assign the said Lease to The Corporation of the Town of
Newcastle as Assignee;
AND WHEREAS pursuant to an Agreement of Purchase and Sale
between the parties hereto, the Assignor agreed to sell the
said lands to the Assignee, and the Assignee has requested the
Assignor to assign to the Assignee all of its right, title and
interest and the Assignee agreed to assume the obligations of
the Assignor under the Lease.
NOW THEREFORE THIS AGREEMENT WITNESSETH THAT in consideration
of the premises and of other good and valuable consideration,
the Assignor by this instrument does assign to the Assignee, j
its successors and assigns forever, all of its right, title
and interest in and to the Lease, and the Assignee hereby
assumesall of the obligations of the Assignor under the Lease

and agrees to indemnify the Assignor and save it harmless
of and from any and all claims of any nature or kind arising
out of the obligations of the Assignor thereunder.
IN WITNESS WHEREOF this Agreement has been executed by the
parties hereto.
