AND WEST BOWMANVILLE DEVELOPMENTS LTD. FILE: PLN 12.6 Recommendations: It is respectfully recommended: 1. THAT Report PD-114-93 be received for information. 1. Baokground Further to Council's resolution of July 19,1993, a meeting was held on July 21, 1993 with representatives of the Town, Markborough Properties Inc. and West Bowmanville Developments Ltd. The purpose of the meeting was to discuss the two matters referred for negotiation by Council, specifically the proposed marketing and renewal study for the Bowmanville Business Improvement Area and the method of securing the financial commitments. 2. Marketing and Renewal Study The purpose of this study was reviewed with all present. Generally, the study would focus on consultations with merchants, realtors and customers to enable businesses in the historic downtown to remain competitive in the light of new development in the West Main Central Area. The Study may not necessarily result in a document but could be on-going professional advice for downtown merchants, particularly with respect to marketing and the creation of a cohesive commercial identity. That Markborough Properties/West Bowmanville Development would have the opportunity for input into the terms of reference for such a study; . That any additional funds above $25,000 required for such a study would be the responsibility of the Municipality; . That if such a study is not carried out, then the sum of $25,000 would be added to the first year's contribution to the Bowmanville B.I.A.; and . That Markborough Properties would commit some in-house expertise to joint marketing efforts. Accordingly, should Council desire to continue with its position of June 14, 1993, it is recommended that the resolution be amended with respect to this item as follows: "i) Fund a marketing and renewal study for the Bowmanville Business Improvement Area, with terms of reference developed in consultation with the funding corporations, to a maximum of $25,000 to be paid to the municipality. If the study is not undertaken, the aforesaid sum shall be added to the first year's annual contribution for marketing and promotion." 3. Seouring Finanoial Conditions 3.1 The timing and appropriate means of securing financial commitments was discussed. In this regard, it was agreed that Markborough/West Bowmanville Developments would provide a letter of commitment prior to the Special Meeting of Council on July 26, 1993, in a form satisfactory to the REPORT NO.: PD-114-93 PAGE 3 Municipality's Solicitor, with respect to the financial payments for: i) contributions amounting to $375,000 to the Municipality and B.I.A. regarding the marketing and renewal study, physical improvements to the downtown and marketing/promotions. ii) legal and professional consulting costs to represent the Municipality at the upcoming ontario Municipal Board Hearing. 3.2 with respect to the contributions specified in Item (i) above, these funds would be secured by an unconditional and irrevocable Letter of Credit on or prior to August 31, 1993. 3.3 The actual proportionate payments for the marketing and renewal study ($25,000) and the one-time proportionate contribution to the Municipality for physical improvements to the historic downtown ($250,000) would become due at the time of issuance of building permits for the respective projects of the contributing landowners. The first annual proportionate contribution for marketing and promotion ($10,000) would become due when the first tenant occupies a part or all of a building within the project in question and every 12 months thereafter for nine years. 3.4 It was agreed that a Letter of Credit is not required to provide security for the commitment of Markborough/West Bowmanville Developments to pay the Town's legal and professional consulting costs related to the upcoming Ontario Municipal Board hearing since the amounts required cannot be pre-estimated. REPORT NO.: PD-114-93 PAGE 4 3.5 Similar conditions would be applied to Willsonia Industries Ltd. regarding its share of the above commitments other than for legal and professional consulting costs. 3.6 The representatives of Markborough Properties/West Bowmanville Developments indicated that they would require that any financial commitments be conditional on the Municipality's approval of the site plan substantially as submitted. Staff indicated that such a commitment could not be given by the Municipali ty at this point in time since the Urban Design Guidelines needed to be completed and the site plan had not circulated for review by technical agencies. 4. Other Matters Prior to the meeting, Markborough Properties forwarded a letter which tabled a draft resolution for Council's consideration. The Director of Planning and Development indicated that these matters would need to be addressed directly to Council and were not under consideration at the meeting. It is staff's understanding that Markborough Properties will be submitting a revised letter prior to this meeting. It will be distributed under separate cover as soon as it is received. Planning staff and the Solicitor will provide a verbal report. on this matter. 5. Conolusion This report is prepared at the direction of Council. Notwithstanding the negotiations conducted on Council's behalf, staff recommend the adoption of the recommendations contained in the Addendum to Report PD-60-93 regarding the Bowmanville Main Central Area Study.
