Mayor Mutton welcomed John Wiersma, Dave Clark, Jim Mason, George VanDyk and
Pauline Storks, Veridian Corporation to the Special Council meeting.
DISCLOSURES OF PECUNIARY INTEREST
There were no disclosures of pecuniary interest stated for this
meeting.
PRESENTATION

Moved by Councillor Rowe, seconded by Councillor Schell
THAT the meeting be "closed" for the purpose of hearing a
presentation from Veridian Corporation regarding a confidential
business matter.

BY-LAW
Moved by Councillor Schell, seconded by Councillor MacArthur
THAT the actions taken during the "closed" session of Council be
ratified.

David Clark, Executive Vice President, Corporate Affairs, Veridian
Corporation, requesting Council's approval of a merger amending
agreement extending the limit on the date that the amalgamation of
the Veridian companies and the Belleville utility companies from
June 30, 2001 to September 28, 2001.

Moved by Councillor Schell, seconded by Councillor Pingle
THAT the correspondence from David Clark requesting approval of
a merger amending agreement be received; and
THAT the appropriate by-law to passed to authorize the execution
of the merger amending agreement.

Resolution #C-437 -01
Moved by Councillor Schell, seconded by Councillor Rowe
THAT leave be granted to introduce By-laws 2001-143 being a
by-law to authorize the execution of a merger amending agreement
between the Corporation of the Town of Ajax, the Corporation of
the Municipality of Clarington, the Corporation of the City of
Pickering, Veridian Corporation, Veridian Connections Inc.,
Veridian Energy Inc., the Corporation of the City of Belleville,
1437864 Ontario Limited, Belleville Electric Corporation and
1444141 Ontario Limited, and that the said by-law be now read a
first and second time,

THAT the third and final reading of By-law 2001-143 be approved.

THAT leave be granted to introduce By-law 2001-144 being a
by-law to confirm the proceedings of the Council of the Municipality
of Clarington at this meeting held on the th day of
September 2001, and that the said by-law be now read a first and
second time.
