THE CORPORATION OF THE TOWN OF NEWCASTLE
BY-LAW 81- 188
being a by-law to authorize the execution
of an agreement with A.E.S. Data Ltd. and
First City Capital Ltd. for the lease of
Word Processing Equipment.
The Council of the Corporation of the Town of Newcastle
HEREBY ENACTS AS FOLLOWS:
That the Mayor and Clerk are hereby authorized to
execute on behalf of the Corporation of the Town of
Newcastle and seal with the Corporation Seal an Agreement
between A.E.S. Data Ltd. and First City Capital Ltd.
and the said Corporation for the lease of Word Processing

LEASING PARTICULARS
LEASE AGREEMENT
This Agreement made by and between First City Capital Ltd., (herein referred to as the "Lessor") and the Lessee named above (referred to as the "Lessee"),
WITNESSETH: That in consideration of the covenants hereinafter contained inCluding those on the reverse hereof, the Lessor and Lessee have mutually
agreed as follows:
1. l....: Lassor hereby leases to lessee, and the Lessee hereby hires and leases from Lessor the equipment described above, together with any parts and acces.
sories relating thereto or affixed thereon (herein referred to as the "Equipment").
2. T.rm: This lease is for an originel term commencing on the date specified in the Leasing Particulars above and unless sooner terminated as set forth herein,
ends at the expiry of the number of months indicated under the heading "Term of Lease" in the Leasing Particulars above.
3. Rant: lessee shall pay as rent to the Lessor for the Equipment during the orlglnel term in advance in lawful money of Canada the number of rent payments
in the amounts and at the times shown in the Leasing Particulars above. The rent shall be paid to the Lessor at 1200-1055 W. Georgia St., P.O. Box 11151, Royal
Centre, Vancouver, B.C. V6E 356. .
4. Tarminal Rant Paymants: The number of terminal payments to be prepaid, as set forth in the leasing Particulars above, if any, shall be paid to Lessor by
A-essee on date of commencement of the original term. Such terminal payments, when paid. to Lessor, shall be deemed to have been received by Lessor not as a
"'posit nor as a security to compensate Lessor for any damages it may suffer by reason of a breach by Lessee of any covenant or condition of this Lease, but as
a condition preliminary for the execution thereof, and shall remain the absolute property of Lessor, shall not be refundable to Lessee under any circumstances but
shall be applied by lassor against the subsequent rent payments in reverse order of their maturities If this Lease remains in force and in good standing.
5. Provincial Salas T.x: Lessee shall pay to Lessor on and with each rent payment, the amount of provincial sales tax, if any, thereon at the rate applicable
from time to time. Provincial sales tax at the rate now applicable on the amount of each rent payment is as set.torth above,
6. Interest on Overdue Payments: Lessee shall, without notice, pay interest at the rate of 24% per annum on any overdue instalment of rent, and upon written
notice from lessor, at the same rate on all other amounts required to be paid by Lessee hereunder and which shall have been paid by Lessor.
7. U..: Lessee shall use the Equipment in a careful and prudent manner and not for enY,unlawful purpose and shall at lessee's expense comply with and
conform to all federal, provincial, municipal and other laws, ordinances and regulations in any way relating to the possession, use or maintenance of the Equipment.
