BY-LAW 91-133
being a by-law to authorize the execution of pre-serv~c~ng
agreements between the North Bowmanvil1e Servicing Group and
the Town of Newcastle
THE COUNCIL OF THE CORPORATION OF THE TOWN OF NEWCASTLE HEREBY
ENACTS AS FOLLOWS:
1. THAT the Mayor and Clerk are hereby authorized to execute on
behalf of the Corporation of the Town of Newcastle and seal
with the Corporate Seal pre-Servicing Agreements for Plans
of Subdivision 18T-88051, 18T-89021, 18T-87087, 18T-82037,
18T-89044, 18T-87021, 18T-87086, 18T-87089 and 18T-87085.
BY-LAW read a first time this 29th day of July, 1991.
BY-LAW read a second time this 29th day of July, 1991.
BY-LAW read a third time and finally passed this 29th day of
July, 1991.

nus FIRST AMENDING AGREEMENT made as of this 25th day of September, 1991
BETWEEN:
THE CORPORATION OF THE TOWN OF NEWCASTLE
(hereinafter called the "Town")
OF THE FIRST PART
- and -
EIRAM DEVELOPMENT CORP.
(hereinafter called the "Owner")
OF THE SECOND PART
- and -
CANADIAN IMPERIAL BANK OF COMMERCE AND
755568 ONTARIO INC. IN TRUST
(hereinafter called the "Mortgagee")
OF THE THIRD PART
WHEREAS:
A. The Parties hereto have made an Agreement as of April 3, 1991 pursuant to
Subsection 50(5) of the Planning Act, 1983 (the "Subdivision Agreement").
B. The Subdivision Agreement applies to the lands and premises more particularly
described in Schedule "A" hereto (the "Lands") notice of it is deposited against the
title to the Lands as Instrument No. NL 32210 in the Land Registry Office for the
Land Titles Division of Whitby (No. 40),
C. This First Amending Agreement applies in respect of the portion of the Lands more
particularly described in Schedule "B" (the "Applicable Lands").
D. The Owner is the owner in fee simple absolute of the Applicable Lands subject to
the interest of the Mortgagees therein,
E. The Parties hereto have agreed to amend the Subdivision Agreement as hereinafter
set forth by entering into this First Amending Agreement
F. This First Amending Agreement is made pursuant to Subsection 50(5) of the
Planning Act, 1983. It is authorized by By-law 91-132 passed by the Town Council
on the 22nd day of July, 1991,

NOW THEREFORE WITNESSETH THAT in consideration of the premises and the
covenants hereinafter expressed, and the sum of Two (52.00) Dollars of lawful money of
Canada, now paid by each Party to the others (the receipt whereof by each Party is hereby
acknowledged), the Parties hereto covenant and agree to and with each other as follows:
1. Owner 01 Applicable '..ands
The Owner represents and warrants to the Town that it is the owner in fee simple absolute
of the Applicable Lands subject only to mortgages or charges made to the Mortgagees.
2. Amendment to Parap-aph 2.4 of Subdivision Aareement
Paragraph 2.4 of the Subdivision Agreement is amended by deleting the words "second plan
of subdivision" from the third sentence thereof and by replacing them with the words '1ast
plan of subdivision".
3. Amendment to Schedule "Q" of Subdivision Aareement
Paragraph (4) of Schedule "Q" to the Subdivision Agreement is amended by adding thereto
the following sentence:
"Furthermore, the Owner agrees to carry out, or cause to be carried out to
the satisfaction of C.LO.C.A, the recommendations in the Northeast
Bowmanville Master Drainage Plan".
4. Provisions of Subdivision Aareement Otherwise Confirmed
Except as provided in paragraphs 2 and 3 of this First Amending Agreement all the
provisions of the Subdivision Agreement are hereby confirmed and continue in effect.
5. Reaistration of First Amendinl Aareement
The Owner and the Mortgagee consent to the registration of a notice of this First
Amending Agreement against the title to the Applicable Lands.
6. Authority to Make Aareement
The Owner acknowledges and agrees that the Town has authority to enter into this First
Amending Agreement, that every provision hereof is authorized by the law and is fully
enforceable by the Parties, and that this First Amending Agreement is made by the Town
in reliance on the acknowledgement and agreement of the Owner as aforesaid.

This First Amending Agreement shall enure to the benefit of and be binding on the Parties
hereto, and their respective successors and assigns.
IN WITNESS WHEREOF the parties hereto have hereunto affixed their corporate seals by
