BY-LAW 87 - 10
being a by-law to authorize the execution of an Agreement
of Purchase and Sale and an Agreement with respect to condition
2( i) of said Agreement of Purchase and Sale with 567292 Ontario
Limited and the Corporation of the Town of Newcastle
(Courtice Community Park Lands)
THE COUNCIL OF THE CORPORATION OF THE TOWN OF NEWCASTLE HEREBY ENACTS
AS FOLLOWS:
1. That the Mayor and Clerk are hereby authorized to execute on behalf
of the Corporation of the Town of Newcastle, and seal with the
Corporationls Seal, an Agreement of Purchase and Sale between
567292 Ontario Limited and the said Corporation, in the form
attached hereto as Schedule "A", with respect to the acquistion of
20 acres +of land being part of Lot 29, Concession II,
of the geographic Township of Darlington, now in the Town of Newcastle;
2. That the Mayor and Clerk are hereby authorized to execute on behalf
of the Corporation of the Town of Newcastle, and seal with the
Corporation's seal, an Agreement between 567292 Ontario Limited and the
said Corporation which shall give effect of Paragraph 2(i) of said
Agreement of Purchase and Sale attached hereto as Schedule IIAII;
3. That Schedule IIN1 attached hereto forms part of this by-law.

,a.Purchaseragrcesl„ obtain a reference plan properly defining the 20 acres more or less,
and to pay the cost of the reference plan, and registration thereof.
b. Purchaser agrees to pay the vendor's normal legal cost associated with this transaction.
c. Purchaser agrees to waive any cash-in-lieu of parkland requirements or parkland
dedications applicable to the retained portion of lands (approximately 6.9 acres
outlined in red on the attached survey) designated for residential development.
d. Purchaser agrees to provide at no cost to the Vendor any easements over Town owned lands
as maybe required for storm, sanitary sewers and water.
e: Purchaser agrees . that this transaction does not include lands identified as Part 41
on a plan filed for reference purposes as RD 20 and Parts 1 and 7 on Reference Plan
10R-1402.
f. Vendor agrees to provide vacant possession at the time of closing subject only to
the condition that the tenant now occupying the lands or a portion thereof shall be
entitled to access and occupy the land until May 31 , 1987.
g. Vendor agrees- to convey the lands free of all or any encumbrances save and except
an easement in favour of the Hydro Electric Power Commission, a drainage easement
in favour of the Northumberland and Newcastle Board of Education, and a temporary
easement to the Ministry of Transportation and Communications over Part 6 of
Reference Plan 10R-1402.
h. Purchaser agrees to pay the balance of the purchase price in cash or by certified cheque
on closing subject to adjustments, if any.
i. The Vendor and Purchaser covenant and agree - that paragraphs 2c and 2d aforementioned
shall not merge on closing but shall survive same and the Purchaser will provide on .
closing, to the Vendor, a written undertaking to this effect executed by the Mayor and
Clerk with corporate seal affixed-theret6.7

9. Vendor and Purchaser agree that there is nu condition,express.or implied,representation or warranty of any kind that the future intended use of the property by Purch-
aser is or will be lawful except as may hs specifically stipulated elsewhere in this Agreement.
10. Purchaser shall not call for the production of any title deed,abstract,surveyor other evidence of title to the property except such as are in the possession or control of
Vendor.Vendor agrees that,if requested by the Purchaser,he will deliver any sketch or survey of the property in his possession or within his control to Purchaser as
soon as possible and prior to the last day allowed for examining title:In the event that a discharge ofany mortgage or charge held by a Chartered Bank,Trust Company.
Credit Union or Insurance Company and which is not to be assumed by the Purchaser on completion,is not available in registrable form on completion,the Purchaser
agrees to accept the Vendor's solicitor's personal undertaking to obtain,out of the closing funds,a discharge or cessation of charge in registrable form and to regisur
same on title within a reasonable period of unto alter completion,provided that on or before completion the Vendor shall provide to the Purchaser a mortgage statement
prepared by the mortgagee setting out the balance required to obtain the discharge,together with a direction executed by the Vendor directing payment to the
mortgagee,of the amount required to obtain the discharge out of the balance due on completion.
11. All buildings on the property and all other things being purchased shall be and remain until completion at the risk of Vendor.Pending completion,Vendor shall hold all
insurance policies,if any,and the proceeds thereof in trust for the parties as their interests may appear and in the event of substantial damage,Purchaser may either
terminate this Agreement and have all monies theretofore paid returned without interest or deduction or else take the proceeds of any insurance and complete the pumh-
aw.
12. Provided that this Agreement shall be effective to create an interest in the property only if the subdivision control provisions of The Planning Act are complied with by
Vendor on or before completion and Vendor hereby covenants to proceed diligently at his expense to obtain any necessary consent on or before completion.
13. Purchaser shall be credited towards the Purchase Price with the amount,if any,which it shall be necessary for Purchaser to pay to the Minister of National Revenut in
order to satisfy Purchaser's liability in respect of ax payable by Vendor under the non-residency provisions of the Income Tax Act by reason of this sale.Purchaser
shall not claim such credit if Vendor delivers on completion the prescribed certificate or his statutory declaration that be is not then a non-resident of Canada.
14. Rents,mortgage interest,taxes,local improvements,water and assessment rates and the cost of fuel shall be apportioned aad allowed to the date of completion(the day
itself to be apportioned to Pur-haser.)
15. The deed or transfer shall,save for the Lanai Transfer Tax Affidavit,which shall be prepared and completed by the Purchaser,be prepared in registrable firm at the
expense of Vendor and the Morteagc at the expense of Purchaser.
lb. Time shall in all respects be of the essence hereof provided that the time for doing or completing of any matter provided for herein may be extended or abridged by an
Agreement in writing signed by Vendor and Purchaser or by their respective solicitors who may be specifically authorized in that regard.
17. Any tender of documents or money hereunder may be made upon Vendor or Purchaser or their respective solicitors on the day set for completion of this A at.
Money may be tendered by bank draft or cheque certified by a Chartered Bank,Trust Company,Province of Ontario Savings Office,Credit Union or Caisse faire.
19. THE §Wg WARRANTS THAT SPOUSAL CONSENT IS NOT NECESSARY TO THIS TRANSACTION UNDER THE PROVISIONS OF THE FA MLY
LAW. I tSb ACT.UNLESS THE VENDOR'S SPOUSE HAS EXECUTED THE CONSENT HEREINAFTER PROVIDED.
19. The Vendor represents and warrants to the Purchaser that the buildings used in conjunction with the property have not been,as at the date of completion,
insulated with a Urea Formaldehyde foam type of insulation.Provided that if the building is part of a multiple unit building this warranty sball oaly extend to
that portion of the building which is the subject of this transaction.This warranty shall survive and act merge on the completion of the transactoa.
20. THE PURCHASER 1S HEREBY NOTIFIED THAT A CONSUMER REPORT CONTAINING CREDIT AND/OR PERSONAL INFORMATION MAY
BE REFERRED TO IN CONNECTION WITH THIS TRANSACTION.
21. The Vendor hereby appoints the Listing Broker his agent for the purpose of giving and receiving notices pursuant to this agreement.
22. Notwithstanding any terms or conditions outlined in the printed portion herein,any provisions written or typed into this Offershall be the true terms and shall supersede
the printed portion in respect to the parts affected thereby.This Agreement shall constitute the entire agreement between Purchaser and Vendor and there is no repre-
sentation,warranty,collateral agreement or condition affecting this Agreement or the property or supported hereby other than as expressed herein in writing.Ions
Agreement shall be read with all changes of gender or number required by the context.
