being a by-law to authorize the execution
of Minutes of Settlement of Certain Issues
Between the TOwn and Ontario Hydro
WHEREAS the Tbwn's Solicitor pursuant to Resolution #C-629-89 has conducted further
discussions and negotiations with Ontario Hydro and has reported that they have
resulted in agreement which is set out in the Minutes of Settlement enclosed with
his letter addressed to Mayor Marie Hubbard and the members of Council dated
September 21, 1989.
WHEREAS Council has heard the verbal report of the Tbwn's Solicitor in support of
his recommendation that the aforesaid Minutes of Settlement be approved by Council
and has adopted his recommendation.
NClV THEREFORE BE IT ENACTED THAT:
1. THAT the Minutes of Settlement of Certain Issues between Ontario Hydro
and the Tbwn of Newcastle, a copy of which is contained in Schedule 1
attached to and forming part of this By-law, are approved and the
Mayor and Clerk are authorized to execute the same on behalf of the
Oorporation of the Tbwn of Newcastle.

MINUTES OF SETTLEMENT OF CERTAIN ISSUES
BETWEEN ONTARIO HYDRO AND THE TOWN OF NEWCASTLE
RELATIVE TO DARLINGTON NUCLEAR GENERATING STATION "Aft
1.0 BUILDING PERMIT APPLICATIONS
1.1 ontario Hydro will make immediate application for
building permits for the buildings in respect of
which ten Orders to Comply with the provisions of
the ontario Building Code Act were issued by the
Town of Newcastle's (the "Town's") Building
Inspector on May 15, 1989. Full documentation as
required by the Town's Building By-law (By-law No.
76-24, as amended) will be filed by ontario Hydro
with the Town's Building Official at the same time
as the applications for building permits are filed.
Without limiting the generality of the foregoing,
such material shall include a statement of the
quantities, types and specifications of all
materials used in the construction of each
building for which an application is made for a
building permit. As is required by the Town's
Building By-law, each application for a building
permit shall contain Ontario Hydro's statereent of
the value of the building in question. The Town
agrees not to hold up the building permit process
if it disagrees with values which ontario Hydro
attributes to any buildings at Darlington Nuclear
Generating station.
1.2 The Town and ontario Hydro agree that the
acceptance by the Town of applications for building
permits for any building at Darlington Nuclear
Generating station which includes a statement of
building value is entirely without prejudice to the
rights of Ontario Hydro and/or the Town to contend
that the provisions of an Agreement between Ontario
Hydro and the Town dated March 22, 1977 (the
"Community Impact Agreement"), and/or the Town's
Building By-law require that the building value on
which the amount of the building permit fee
payable is properly determined is either higher or
lower than that declared in such statement.
1.3 The Town agrees to instruct its Building Official
to process all applications for building permits by
Ontario Hydro as expeditiously as is reasonably
practicable. At the time of submission of
applications for building permits, ontario Hydro
will make available staff to assist the Town's
Building Official in his consideration of the
applications and supporting material as is required
by the Building Official. Further, in order to

assist the Building Official, Ontario Hydro will
make available to him all consultants' reports
relevant to the application of the Ontario Building
Code which ontario Hydro has in its possession,
together with reports submitted by ontario Hydro to
the Atomic Energy Control Board which address the
same or similar matters that are to be addressed by
the Building Official in considering the Building
Code. ontario Hydro will provide the services of
architects and engineers employed or retained by it
in connection with the design and construction of
the buildings referred to in the ten Orders to
Comply issued on May 15, 1989 to provide technical
assistance to the Building Official in the
discharge of his responsibilities under the
Building Code with regard to such buildings. In
addition, the Town and ontario Hydro recognize that
it may be necessary for the Town to retain an
additional consultant or consultants to provide
technical assistance to the Building Official in
the discharge of his duties in respect of the
buildings referenced in the ten Orders to Comply
issued on May 15, 1989. In such event, the Town
will consult with ontario Hydro and if agreed to by
ontario Hydro, will retain such consultant or
consultants, in which case, Ontario Hydro agrees to
fully indemnify the Town in respect of all
reasonable disbursements made by the Town in
retaining such consultant or consultants forthwith
after written demand for indemnification is made by
the Town to ontario Hydro. The Town represents
that on the basis of the preliminary consideration
by its Building Official of material relating to
the buildings referred to in the ten Orders to
comply issued on May 15, 1989, the Town's Building
Official has decided that he will not require the
confirmation of engineering and design data and
information provided to him by Ontario Hydro either
by himself, the Town, a consultant retained either
by himself or the Town, or Ontario Hydro.
1.4 The Town agrees to instruct its Building Official
to review the completeness of all applications for
the building permits referred to in paragraph 1.1
hereof and all supporting material submitted with
such applications by ontario Hydro and give written
notice to ontario Hydro of any deficiencies in the
applications or supporting material within two
business days following the submission of all such
applications. The Town agrees to instruct its

Building Official to undertake and complete his
review of the applications for building permits
together with all supporting material and his
inspection of the buildings referred to in the ten
Orders to Comply issued on May 15, 1989 within nine
business days following the submission to him of
the applications for building permits referred to
in paragraph 1.1 hereof. Further, the Town agrees
to instruct its Building Official to issue Orders
to Comply with the provisions of the Building Code
in respect of all deficiencies of which he is now
aware or becomes aware within the period of nine
business days following submission to him of the
applications for building permits referred to in
paragraph 1.1 hereof. The Town also agrees to
instruct its Building Official to immediately issue
an amending Order to Comply in respect of the
Vacuum Building if he is of the opinion that it
does not comply with the provisions of the Building
Code.
1.5 Notwithstanding paragraph 1.1, the Town agrees that
the filing of applications for building permits for
the Water Discharge structure and Tunnels and
Vacuum Building by ontario Hydro is without
prejudice to ontario Hydro's right to contend in
proceedings by the Town or the Town's Building
Official to enforce the requirements of the
Building Code against it that the provisions of the
ontario Building Code Act and its regulations do
not apply. Notwithstanding the foregoing, ontario
Hydro and the Town agree that whether or not
ontario Hydro elects to contest in any proceedings
brought against ontario Hydro to enforce the
Building Code, for all of the purposes of the
Community Impact Agreement and the Town's Building
By-law, the Water Discharge structure and Tunnels
and the Vacuum Building shall be considered to be
buildings in respect of which the Town is to be
paid a sum equal to $5 per $1,000 of building
value.
1.6 with regard to the Vacuum Building, ontario Hydro
will immediately provide additional documentation
relevant to the question whether there is intended
to be occupation of portions of this building by
persons. The Town's Building Official forthwith
after receipt of such documentation will reconsider
whether the provisions of paragraphs 1.3 and

3.4.2.1 of the Ontario Building Code dealing with
the number and specifications of exits required
from areas within buildings occupied by persons,
apply.
1.7 In the event that the Building Official's decision
is that the Vacuum Building or the Water Discharge
structure and Tunnels as constructed contravene
the Building Code, the Town agrees that it will not
oppose an application by ontario Hydro to the
ontario Building Code Commission and/or the Atomic
Energy Control Board for relief from the Building
Official's decision with regard to the Vacuum
Building or the Water Discharge structure and
Tunnels to comply with the requirements of the
Building Code. The Town further agrees not to
oppose any decision arising out of such
applications.
1.8 ontario Hydro agrees with the Town that it will not
contend that the ontario Building Code Act and the
Building Code do not apply in respect of Darlington
Nuclear Generating station "A" or any building
constructed or to be constructed thereon, in any
proceeding arising under or to enforce the
provisions of paragraph 25 of the Community Impact
Agreement and the Town's Building By-law, on the
ground that the construction and/or operation of
Darlington Generating station "A" or any building
thereon is a matter within the exclusive
jurisdiction of the Parliament of Canada.
2.0 BUILDING PERMIT FEES
2.1 Ontario Hydro will immediat~ly pay to the Town the
sum of $1,042,000 for building permit fees under
the Community Impact Agreement and the Town's
Building By-law. ontario Hydro wishes to record
that the basis of its calculation of the said sum
of $1,042,000 is set out in Schedule 1 hereto.
Ontario Hydro and the Town agree that acceptance of
the said sum of $1,042,000 by the Town shall not be
considered to be an acceptance by the Town of the
representations contained in Schedule 1 for any
purpose. Further acceptance of the said sum of
$1,042,000 by the Town is entirely without
prejudice to the Town's right to contend in
arbitration proceedings to determine the amount of
money payable to the Town for building permit fees
for Darlington Nuclear Generating station under

paragraph 25 of the community Impact Agreement and
the Town's Building by-law, that the amount payable
to the Town is in excess of the said sum of
$1,042,000 and all other payments of building
permit fees which have been made by Ontario Hydro
to the Town. Further, it is understood and agreed
by Ontario Hydro and the Town that whether or not a
board of arbitration determines that a lesser sum
than $1,042,000 is due to the Town for such
building permit fees, no portion of the said sum
will be required to be repaid to Ontario Hydro by
the Town.
2.2 ontario Hydro and the Town recognize that issues
remain outstanding between them concerning the
amount of building permit fees which ontario Hydro
is obligated to pay to the Town under the
provisions of the Community Impact Agreement and
the Town's Building By-law and the amount of
building permit fees and interest thereon, if any,
that is payable to the Town. ontario Hydro and the
Town agree that resolution of these issues will
take place by arbitration in accordance with the
provisions of the Community Impact Agreement if
such proceedings are commenced by the Town. In
such arbitration, subject to paragraph 2.5 hereof
it is understood and agreed that building values
for all buildings at Darlington Nuclear Generating
station will be determined together with the amount
of building permit fees payable at the rate of $5
per $1,000 of building value pursuant to the
Community Impact Agreement and the Town's Building
By-law and interest, if any, on any amounts,
determined to be payable to the Town. In
determining the amount of money, if any, which is
required to be paid by ontario Hydro to the Town,
ontario Hydro shall be given credit for all amounts
paid to the Town on account of building permit fees
including the amount of $1,042,000 which is to be
paid to the Town by ontario Hydro from the date on
which it is paid in fact to the Town. For the
avoidance of doubt, subject to paragraph 2.5 hereof
the acceptance by the Town before or after the
making of these Minutes of any amount of money from
ontario Hydro on account of building permit fees
shall not be considered to be an acceptance by the
Town of the building value represented by Ontario
Hydro of any building at Darlington Nuclear
Generating station.

2.3 ontario Hydro will establish an account (the
"escrow account") with a Chartered Bank or a Trust
Company (the "escrow agent") approved by the Town,
forthwith after the execution of these Minutes by
ontario Hydro and approval of them by the Town
Council. The escrow account shall be interest-
bearing. Ontario Hydro will pay the sum of
$2,000,000 (the "escrowed amount") into the escrow
account on the date of establishment of the escrow
account. The escrowed amount shall be increased by
the amount of interest accruing thereon from time
to time.
2.4 If it is determined by arbitration pursuant to the
community Impact Agreement, the Town's Building By-
law or agreed to by ontario Hydro and the Town that
an additional amount or amounts of money is owed to
the Town on account of its obligation to pay
building permit fees and/or interest on amounts in
default to the Town pursuant to the Community
Impact Agreement and the Town's Building By-law,
the escrow agent will pay to the Town forthwith
after the filing with the escrow agent of either
the award of the board of arbitrators or the
agreement between ontario Hydro and the Town as the
case may be the amount determined or agreed to be
due to the Town up to the total amount then
outstanding in the escrow account inclusive of
interest which has accrued due on the escrowed
amount. ontario Hydro and the Town agree that if
the amount determined by the board of arbitrators
or agreed to by ontario Hydro and the Town to be
due to the Town on account of building permit fees
and interest, if any, on amounts in default exceeds
the escrowed amount together with interest accrued
due thereon, ontario Hydro shall pay any additional
amount to the Town forthwith after written demand
therefor is given to ontario Hydro by the Town.
2.5 The Town and ontario Hydro recognize that an issue
exists between them as to whether an agreement was
made by them in 1981 as to building values for all
or a portion of Darlington Nuclear Generating
station "A". The Town and Ontario Hydro understand
and agree that if they are so advised, Ontario
Hydro and the Town may adduce evidence and/or
contend in the arbitration proceedings commenced by

the Town pursuant to the Community Impact Agreement
that such an agreement as to building values either
was made or was not made in 1981.
2.6 ontario Hydro and the Town agree that arbitration
proceedings to determine the issues referred to in
these Minutes if commenced by the Town, shall be
completed as expeditiously as is reasonably
practicable. They agree to cooperate with each
other to this end.
3.0 FIRE PROTECTION SERVICES
3.1 ontario Hydro and the Town recognize that the Town
cannot assume primary responsibility for fire
protection services at Darlington Nuclear
Generating station either at the present time or in
the immediate future. Accordingly, ontario Hydro
and the Town agree that until the Town notifies
ontario Hydro and ontario Hydro is satisfied that
the Town is prepared to assume primary
responsibility for the provision of fire protection
services at the Darlington Nuclear Generating
station, ontario Hydro will provide primary fire
protection services at the station.
3.2 Except as otherwise specified below in these
Minutes, ontario Hydro agrees with the Town that it
accepts and will satisfy and perform forthwith all
recommendations for it contained in'a document
prepared by Mr. D. Alfieri and Mr. A. Dupuis which
is entitled Draft Proposals re: Newcastle/
Darlington, a copy of which is contained in
Schedule 2 hereto.
3.3 ontario Hydro will reimburse the Town for the cost
of acquiring a new fire station site at Waverley
Road and Baseline Road, Bowmanville, including
reasonable disbursements made by the Town for a
soils test, taxes, registration fees and legal
expenses up to a maximum of $115,000. The amount
shall be paid forthwith after written demand
therefor is given by the Town to Ontario Hydro
following the completion of the purchase of the
site by the Town.
3.4 ontario Hydro will immediately pay to the Town the
sum of $50,000 for improvements to the Town's fire
station communication systems, allowing on-line
communications with Darlington site personnel.

3.5 ontario Hydro agrees with the Town that it will
deliver to the Town its cheque payable to the
Region of Durham for the sum of $50,000 for
transmittal forthwith by the Town to the Region of
Durham, such sum to be expended on the cost of a
fire training facility to be built either in the
Region of Durham or in the Town of Newcastle. The
cheque shall be delivered to the Town by ontario
Hydro forthwith after the Regional Council decides
to establish such a training centre and ontario
Hydro is given written notice of such decision by
the Town.
3.6 ontario Hydro agrees with the Town that it will
contribute $1,000,000 (in 1989 dollars) toward the
capital costs of a new fire station to be located
on the site at Waverley Road and Baseline Road in
Bowmanville which is being purchased by the Town
and is referred to in paragraph 3.3 of these
Minutes, or on another site if agreed to by Ontario
Hydro. The sum of $1,000,000 shall be increased
annually by a rate equivalent to the rate of
increase of the Consumer Price Index (all items for
regional cities) for Metropolitan Toronto, if any,
for the period in question. (The sum of $1,000,000
plus the increases thereto is referred to as the
"escalated amount"). The escalated amount or the
amount of $1,000,000, whichever is greater, shall
forthwith be paid to the Town if on or before
December 31, 1994, the Town gives written notice to
Ontario Hydro that it has entered into a binding
contract with a construction company to construct a
fire station on the site at Waverley Road and
Baseline Road or on such other site as is agreed to
by Ontario Hydro, provided that Ontario Hydro has
first notified the Town, in writing, that it is
satisfied that the proposed fire station will meet
the requirement for the Town to assume primary
responsibility for the provision of fire protection
services at the Darlington Nuclear Generating
station.
3.7 Ontario Hydro understands that the Town intends to
prepare a Master Fire Protection Plan for
Bowmanville and surrounding areas including
Darlington Nuclear Generating station. The Town
agrees to consult with Ontario Hydro in the
preparation of such Plan.

3.8 ontario Hydro records its intention to fully comply
with the provisions of the Ontario Fire Marshal Act
and regulations made thereunder.
4.0 COMMUNITY IMPACT AGREEMENT/STATION ACCOUNTS A AND B
4.1 ontario Hydro and the Town agree that nothing in
these Minutes affects in any way the Town's right
to call for payment of the amount of the funds on
September 20, 1989 in station Accounts A and B
established by the Community Impact Agreement, or
any other financial obligation of ontario Hydro to
the Town provided by the Community Impact
Agreement. Any payments or financial commitments
required to be made by ontario Hydro in
satisfaction of these Minutes shall not be made
from or debited against either station Accounts A
or B. Further, ontario Hydro agrees with the Town
that it will consider and process for payment to
the Town in good faith and with reasonable
expedition all requisitions for payments of station
Accounts A and/or B funds that are made by the Town
in accordance with the provisions of the Community
Impact Agreement.
5.0 AS-BUILT DRAWINGS
5.1 Forthwith after the last reactor at Darlington
Nuclear Generating station "A" is put "in service"
as that term is defined in the operating licence
issued to ontario Hydro by the Atomic Energy
Control Board, Ontario Hydro shall provide to the
Town without charge all plans for all buildings
which it has prepared or caused to be prepared
showing as of the date on which the last reactor or
reactors at the station is put in service, provided
that ontario Hydro shall give the Town written
notice of the date on which the final reactor to
be put in service is put in service forthwith after
that event occurs.
6.0 HYDRO LIAISON COMMITTEE
6.1 ontario Hydro and the Town agree that it would be
useful to reconstitute the Hydro Liaison Committee
to facilitate communications between Ontario Hydro

and the Town and to perform such other
responsibilities as are assigned to the Committee.
Accordingly, both ontario Hydro and the Town will
cooperate to reconstitute the Hydro Liaison
Committee and to establish its terms of reference
and a schedule of meetings at the earliest
opportunity.
7.0 APPROVAL AND IMPLEMENTATION OF THESE MINUTES
7.1 The Town agrees to call a Council meeting within
three business days of the date of execution by
Ontario Hydro of these Minutes for the purpose of
obtaining Council's approval of them.

SCHEDULE 2
DRAFT PROPOSAL re: NEWCASTLE/DARLINGTON
The following is a comprehensive report of the fire proteotion
requirements for the Town of Newcastle with respect to providing
services relating to the Darlington Nuolear Generating Station.
Consideration has been given to both the present and future needs
for fire suppression, fire prevention and training services.
The Offioe of the Fire Marshal, on the request of the Council of
the Town of Newcastle, had undertaken a oomplete munioipal fire
protection survey in 1975. At that time the Offioe of the Fire
Marshal recommended the construction of a new fire department
headquarters station to be located along Highway No.2, west of
the present development at Bowmanville. At the time of this
survey, one consideration was to allow a more expedient response
to the Courtice area. However, a fire station has been
oonstructed to service the Courtioe area and although a new fire
department headquarters facility is still required, the area of
focus has shifted to the industrial section which includes the
Darlington Nuclear Generating Station.
The establishment of a municipal fire department is not
mandatory, Section 210, Paragraph 24, R.S.O. 1980 of the
Municipal Act implies a responsibility for the municipality to
provide fire protection. The Act defines four methods or
combinations thereof which a municipal council may utilize to
meet this obligation. The level of fire protection provided,
however, is left totally to the discretion of the municipal
council. It is worthy of note that the commitments of the Town
of Newcastle in regard to expenditures for fire proteotion fall
considerably short of moat municipalities of comparable size and
population.

The response capabilities for fire suppression and rescue
purposes from the headquarters fire station in Bowmanville
consists of:
1 - 5000 L/min triple combination pumper
1 - 5000 L/min telesquirt
1 - 8000 L capacity water tank vehicle
1 - rescue van
The above vehicles only have full-time personnel responding,
complemented by part-time or volunteer personnel, from 06:00
hours to 18:00 hours Monday through to, and including Sunday each
week. The part-time or volunteer fire fighting personnel cover
the station for the rest of the time.
It is the understanding of this report that the Town of Newcastle
have requested the following commitments from Ontario Hydro prior
to offering adequate fire protection to the Darlington Nuclear
Hydro Generating Station.
1. Ontario Hydro purchase the property for a new headquarters
fire station at a cost of $115,000.00.
2. Ontario Hydro pay $2,000,000.00 for the construction of this
new station.
3. ontario Hydro pay $50,000.00 toward updating the present
fire department communication system.

4. ontario Hydro provide the Town of Newcastle with a fire
department training facility for fire ground evolutions.
5. Ontario Hydro provide an in-depth induction and on-going
training program for the Town of Newcastle Fire Department
personnel.
6. Ontario Hydro to indemnify the Town of Newcastle against the
cost of hiring additional full-time fire fighters.

1. It Is Recommended That: Ontario Hydro establish an adequate
full-time fire suppression and rescue service for
approximately two years or until the Town of Newcastle can
provide response oapabilities. This servioe to include a
communications system compatible to the equipment in
operation at the Town of Newcastle Fire Department. The
fire service personnel to include twenty-four (24) hour
protection with a minimum of six personnel per shift. The
personnel to consist of an officer, a driver/pump operator
and four fire fighters.
2. It Is Recommended That: One member of the Ontario Hydro
Fire Service be appointed as being responsible for fire
prevention duties.
3. It Is Recommended That: One member of the Ontario Hydro
"Fire Service be appointed as being the liaison person
between the Ontario Hydro and the Town of Newcastle Fire
Department.
4. It Is Recommended That: ontario Hydro agree to establish
and present an in-depth training and familiarization program
to the Town of Newcastle Fire Department personnel.
5. It Is Recommended That: The Liaison Officer continue with
his/her duties at the time the Town of Newcastle provides
complete fire protection for the nuclear facility.
6. It Is Recommended That: Ontario Hydro extend an offer to
provide their training program to neighbouring fire
departments in Durham Region.

7. It Is Recommended That: ontario Hydro pay for the purchase
of the land for the erection of the new fire station at a
cost of $115,000.00.
8. It Is Recommended That: Ontario Hydro pay 50% of the cost
of the erection of the new fire station, up to a maximum
costs of $1,000,000.00.
9. It Is Recommended That: Ontario Hydro pay $50,000.00 toward
improvements to the present communication system in Durham
Region.
10. It Is Recommended That: Ontario Hydro contribute $50,000.00
towards the cost of a training facility to be built by
either the Region or the Town of Newcastle.
11. It Is Recommended That: Ontario Hydro Fire Service prepare
a fire response plan including standard operating procedures
for fire response at the Darlington Nuclear Generating
Station.
12. It Is Recommended That: The fire truck in operation by the
Ontario Hydro Fire Service be turned over to the Town of
Newcastle when the town has undertaken to provide adequate
fire protection services.
13. It Is Therefore Recommended That: Ontario Hydro cooperate
with the Town of Newcastle in the employment of their
temporary fire fighters which could he advantageous to both
organizations.

LIST Of RECOMMENDATIONS POR THE TOWN OF NEWCASTLE
1. It Is Recommended That: A fire department director of
training be appointed by the Newcastle Fire Department whose
training division duties would also include liaison with the
fire safety officer of ontario Hydro.
2. It Is Recommended That: The Town of Newcastle purchase
property and construct an adequate headquarters fire station
with the objective of being in operation within twenty-four
(24) months.
3. It Is Recommended That: The Town of Newcastle agree to
prOVide fire suppression and rescue training to the Ontario
Hydro fire service personnel.
4. It Is Recommended That: The Town of Newcastle cooperate
with the Ontario Hydro in the employment of the temporary
fire fighters employed at Darlington. This would have to be
discussed to determine what would be the proper procedure.
5. It Is Recommended That: The Town of Newcastle employ and
train sufficient fire fighters to provide twenty-four (24)
hour full-time fire protection. This provision to coincide
with the opening of the new fire station.
