Minutes of a Special Meeting of Council
held at 3 p.m. on January 19 1981 in
Court Rocm #2
Present were:
Garnet B. Rickard, Mayor
Councillor Ann Cowman

Councillor Bruce Taylor

Mr. David J. D. Sims, Q.C., Town Solicitor

The meeting had been called to discuss administration matters.

Mayor Rickard called the meeting to order.

Recess
THAT there be a short recess.

The Town Solicitor submitted a report on the Town
Manager, Mr. A. C. Guiler.
Resolution #C-61-81
Moved by Councillor Prout, seconded by Councillor Hubbard
THAT the foregoing report be received.
"CARRIED"
This report reads as follows:
I specifically recannend the following actions:
1. The Town tenninate Mr. Albert C. Guiler as Town
Manager effective as of Thursday, January 22nd, 1981,
and that by-law 77-78 appointing Mr. Guiler be rescinded.

2. Subject to paragraph 3 hereof, the Town pay
to Mr. Guiler the sum of $20,000.00 in full
settlement of any claim which he may have
against the Town and, in particular, any claims
which he may have for damages for breach of
contract upon condition that Mr. Guiler delivers
to the Town a duly executed release in a fonn
satisfactory to the Town solicitor.
3. The Treasurer be authorized to obtain whatever advice
may be required fran the Town's auditors as to the
arrount of inccrne tax to be withheld from the
settlement proceeds.
4. The Treasurer and Town solicitor be directed to eXP8di te
the ccrnpletion of settlement.

THAT Mayor Rickard read out his report on this matter.

The report reads as follows:
Re: Transition period until Bnployment of new
Town Manager
The following sets out my reccmnendations for actions to be
taken until the Town engages a new Town Manager or Administrator.
1. Mr. D. J. D. Sims shall, until the appointment of a new
Town Manager or Administrator, act as Chainnan of a
Management Ccmni ttee of Staff which shall be canposed of
the Clerk and all Department Heads.

2. Mr. Sims shall give direction to the carrying out of
the responsibilities of the To.vn ~ as set out in
By-Law 77-77.
3. Mr. Sims shall be compensated for his services on a fee
for service basis in accordance with his no:mnl practice.
4. The name of the position "Town Manager" be changed to
"Administrator" and the position be appropriately posted
and advertised externally to be filled at the earliest
possible tinE.
5. The job description for Administrator shall be as set out
in By-Law 77-77.
6. The advertised salary range for the position of Administrator
by $33,000.00 to $42,000.00 depending on the qualifications
of the Applicant.
7. Applications for the position of Administrator shall be
received in the first instance by the Mayor and a Conrni ttee
shall be appointed to take whatever advice and interview such of
the applicants as it deems necessary and shall present Council
with the namas of the three preferred applicants for the
consideration of Council and any specific reCOlllOOndations the
Conrnittee nay have.
8. All applicants for the position of the Clerk formerly directed
to be referred to the To.vn Manager shall be referred to the
Mayor and shall be acted upon in the same rmnner provided
in paragraph 7.
9. In the absence of the Administrator all collective bargaining
shall be supervised by Mr. Sims and the Comni ttee shall have
the benefit of seeking whatever advice nay be requisite.
10. In view of the fact that a new Administrator probably will not
be appointed until the 1981 budget is in its final stages of
developnent, Mr. Sims be asked together with the Treasurer
and all DepartlIBnt Heads to give priority to the developnent
of the 1981 budget for early consideration by Council.
11. The draft public statemmt attached be released.
12. A letter in the tenns of the draft letter attached be sent to
all DepartlIBnt Heads.

as per the Mayor's report during the interim period.

THAT leave be granted to introduce By-Law 81-12 being a by-law
to confirm the proceedings of the Council of the Town of
Newcastle at this meeting held on the 19th day of January 1981.

Jaycees
THAT pennission be granted to the Jaycees to fly their flag
at the Police and Fire Building January 25 through to January
31 1981 and if they require a proclamation, it be done in
accordance with Town policy.
