" BY-LAW NUMBER 2005-045 being a by-law to authorize the execution of a lease from the Municipality of Clarington to Aecon Utilities, a division of Aecon Construction Group Inc. WHEREAS Council has received a verbal report from the Municipality's Solicitor regarding proposed Minutes of Settlement between the Municipality of Clarington, Arthur Robinson and 1587212 Ontario Inc. regarding 173 Baseline Road, Bowmanville, NOW THEREFORE, the Council of The Corporation of the Municipality of Clarington enacts as follows: 1. THAT the Mayor and the Municipal Clerk are authorized on behalf of The Corporation of the Municipality of Clarington to execute a lease to Aecon Utilities, a division of Aecon Construction Group Inc. ("Lease") of the portion of 173 Baseline Road, Bowmanville, shown as Schedule "A" to the lease agreement made as of March 1,2005 between Aecon Utilities as tenant and 1587212 Ontario Inc. as landlord which is on file with the Municipal Clerk ("Lease Agreement") provided that: (a) the term of the Lease either will commence on March 14, 2005 and expire on March 14,2006 or shall commence and/or expire on such earlier or later date that the Director of Finance considers to be appropriate to protect the Municipality's interests; (b) the Lease shall provide for a monthly rental of $2,750 plus applicable GST and the tenant shall be responsible for the payment of all utilities relating to the use of the leased premises; (c) the Lease will contain such other terms and conditions as the Director of Finance considers to be necessary to protect the Municipality's interests; (d) the obligations of the landlord provided for in section 3 of the Lease Agreement shall be exclusively the obligations of 1587212 Ontario Inc. and shall not be the responsibility of the Municipality of Clarington; and (e) in the event that either Arthur Robinson or 1587212 Ontario Inc. becomes the owner in fee simple of 173 Baseline Road, Bowmanville pursuant to the Minutes of Settlement, prior to the expiry of the term of the Lease, an amount equal to the 2005 tax installments that would have become due if either Arthur Robinson or 587212 Ontario Inc. was the owner in fee simple of 173 Baseline Road, during the period to which the installments relate (Notational Tax Installments) shall be applied against such notational tax installments by the Director of Finance and an amount equal to the difference between the total of the rent paid to the Municipality and the total of such notational Tax Installments, if any, shall be paid to Arthur Robinson forthwith after either Arthur Robinson or 1587212 Ontario Inc. becomes the owner in fee simple of 173 Baseline Road.
